A commercial counterparty and public-source due diligence case.

This independent public-source case study reconstructs the information problem immediately before MICT completed its acquisition of Tingo Mobile on 1 December 2022. The principal decision cut-off is 30 November 2022. Later regulatory, court and company material is separated and used only as ex-post validation, not as knowledge available to a 2022 decision-maker.

Current-status evidence cut-off: 14 August 2026.

Method

Two evidence windows keep hindsight out of the decision.

Window A: material available on or before 30 November 2022 controls the principal reliance analysis.

Window B: later SEC, DOJ, PCAOB, court and company material is segregated and used only to test whether the earlier verification controls were meaningful.

This separation matters because later events cannot be treated as if they were known before the transaction closed.
